TERMS AND CONDITIONS FOR VINFOSTOCK

These Terms and Conditions (“Terms”) govern your access to and use of Vinfostock (“the Service”), provided by Vinfotech Solutions a business registered in Nigeria. By registering for, accessing, or subscribing to Vinfostock, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, do not use the Service.
- Definitions
- “Vinfostock” / “the Service” refers to the cloud-based point-of-sale software platform provided to users on a subscription basis.
- “User,” “You,” or “Subscriber” means any individual or business entity registering to use the Service.
- “Company,” “We,” “Us,” or “Our” refers to the provider of Vinfostock.
- “Subscription Plan” means the paid or free plan selected by the user.
- Eligibility
By registering for the Service, you confirm that:
- You are at least 18 years of age.
- You are legally capable of entering a binding contract under Nigerian law.
- If registering on behalf of a business, you have authority to bind the entity.
- Account Registration
- You must provide accurate, complete, and up-to-date information during registration.
- You are responsible for maintaining the confidentiality of your login credentials.
- You must notify us immediately of any unauthorised access or security breach.
- The Company is not liable for losses arising from your failure to secure your account.
- Subscription, Billing & Payments
- The Service is offered on subscription plans as displayed on the pricing page.
- All fees are billed in Nigerian Naira (NGN) unless otherwise stated.
- Payments may be processed through approved payment gateways compliant with Nigerian financial regulations.
- Subscriptions automatically renew except cancelled before the renewal date.
- Failed or declined payments may lead to suspension of access.
- We reserve the right to revise pricing, with notice provided to subscribers.
- Use of the Service
You agree to use the Service only for lawful business purposes. You must not:
- Use the Service for fraudulent, illegal, or harmful activities.
- Upload or distribute malware, harmful scripts, or malicious content.
- Attempt to breach, disable, or bypass the platform’s security.
- Share login access with unauthorized third parties.
- Engage in any activity violating the Cybercrimes Act 2015.
We may suspend or terminate accounts violating this section.
- Data Protection & Privacy
We comply with the Nigeria Data Protection Act (NDPA 2023) and related regulations.
- By using the Service, you consent to our collection, processing, and storage of your data as outlined in our Privacy Policy.
- You retain ownership of data entered into your Vinfostock account.
- We store and process your data securely and will not share it with third parties except:
- where required by law,
- for service delivery (e.g., hosting providers), or
- with your explicit consent.
- You are responsible for ensuring that your own customer data is collected and used in compliance with NDPA/NDPR.
- Data Backup & Retention
- We implement regular data backups, but we do not guarantee that all data will be recoverable.
- Users are strongly advised to maintain independent backups of critical information.
- Upon cancellation, we may retain your data for a period consistent with Nigerian data protection regulations before permanent deletion.
- Intellectual Property
- All intellectual property rights relating to the Service (software, logo, content, UI/UX, code, etc.) remain the exclusive property of the Company.
- You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription.
- You may not copy, modify, reverse-engineer, distribute, or resell any part of the Service.
- Third-Party Integrations
Vinfostock may integrate with third-party services such as payment gateways or SMS providers.
- Use of such services is subject to the third party’s own terms.
- We are not liable for failures or damages arising from third-party integrations.
- Service Availability & Updates
- We strive to keep the Service available 24/7 but do not guarantee uninterrupted access.
- Downtime may occur due to maintenance, upgrades, or events beyond our control.
- We may update, modify, or enhance the Service at any time, including adding or removing features.
- Limitation of Liability
To the fullest extent permitted under Nigerian law:
- The Service is provided “as is” and “as available.”
- We are not liable for:
- loss of profits, revenue, or business,
- data loss,
- downtime or service interruptions,
- indirect or consequential damages.
- Our total liability shall not exceed the total subscription fees paid in the preceding three (3) months.
- Indemnification
You agree to indemnify and hold harmless the Company against all claims, damages, liabilities, legal costs, or losses arising from:
- Your misuse of the Service,
- Breach of these Terms,
- Violation of Nigerian laws or third-party rights.
- Cancellation & Termination
- You may cancel your subscription at any time through your account dashboard.
- There are no refunds for partial subscription periods unless required by Nigerian consumer protection laws.
- We may suspend or terminate your account for:
- non-payment,
- violation of these Terms,
- illegal or fraudulent activity.
Upon termination, access to your account and data may be restricted.
- Governing Law & Dispute Resolution
- These Terms are governed by the laws of the Federal Republic of Nigeria.
- Disputes shall first be resolved through negotiation; if unresolved, disputes may be referred to mediation or arbitration in Nigeria in accordance with the Arbitration and Mediation Act 2023.
- Courts in Nigeria will have jurisdiction where litigation is necessary.
- Changes to Terms
We may update these Terms occasionally. Material changes will be communicated to users via email or platform notice. Continued use of the Service after changes constitutes acceptance.
